Basic Policy Related to the Antimonopoly Act

Basic Policy Related to the Act on Prohibition of Private Monopolization and Maintenance of Fair Trade (the “Antimonopoly Act”) and the Unfair Competition Prevention Act

1. Purpose

Credit Saison Co., Ltd. (the “Company”) hereby declare that we do not tolerate any act that restricts fair and free competition, such as cartels and bid rigging, and other acts that may give rise of suspicion of doing same or that otherwise violate the Antimonopoly Act and the Unfair Competition Prevention Act.
Based on this basic policy (the “Basic Policy”), the Company shall conduct fair transactions in its business activities in compliance with laws and regulations.

2. Scope of application

The Basic Policy applies to the Company’s Directors, Audit & Supervisory Board Members, Executive Officers, employees and dispatched employees (collectively, “Officers and Employees”).

3. Prohibitions

The Company prohibits the following acts.

  • (1)Private monopolization or acts that may give rise to a suspicion of same
  • (2)Unreasonable restraint of transaction or acts that may give rise to a suspicion of same
  • (3)Unfair transaction practices such as making use of one’s superior bargaining position or acts that may give rise to a suspicion of same
  • (4)Acts that violate the Unfair Competition Prevention Act or acts that may give rise to a suspicion of same

4. Compliance training

The Company shall continue to provide compliance training related to the Antimonopoly Act and the Unfair Competition Prevention Act to its Officers and Employees.

5. Development of internal systems

The Company shall streamline internal rules and build an operational platform in order to promptly respond to reports related to the Antimonopoly Act and the Unfair Competition Prevention Act.

6. Internal audits

The Company shall conduct internal audits related to the Antimonopoly Act and the Unfair Competition Prevention Act.

7. Sanctions

The Company shall take strict disciplinary action against any individual who violates the Basic Policy in accordance with its internal rules.
Disciplinary action for violations will be based on the Company’s employment regulations and so forth.
